Terms and conditions

We may use the personal data collected through various physical or electronic means such as email, SMS, WhatsApp, telephone, fax and in the documents that may be sent to our Prospects, Clients, Suppliers, Strategic Allies, and any other person, in order to contact them, resolve their doubts, recommend them, attend to their requests, provide the services they contract, be able to share advertising, information of interest and in general to communicate with our consumers and the general public. THIS IS IMPORTANT INFORMATION. PLEASE READ IT!

These Terms and Conditions (hereinafter, the "Terms and Conditions") are applicable to all persons who use, in-person, cell phone, instant messaging or even social media contracts. These Terms and Conditions constitute the general Terms of Contract and govern the relationship between Us and the Users who request and/or use any of our services, whether on a one-time, recurring or permanent basis, and may even have different services of different temporary modalities.

We want you to know our services in detail, so we will describe in these Terms and Conditions all the necessary information so that you can contract and use the services clearly and precisely. We can only offer our service with your consent, so it will be understood that by using, browsing, interacting or providing us with information of any kind in any of the communication channels described throughout these Terms and Conditions, the User or You (as these concepts are defined in section 4 of these Terms and Conditions), grant your acceptance and consent to these Terms and Conditions, the Privacy Notice.

By accepting these Terms and Conditions you declare:

• That these Terms and Conditions have been made known to you.

• That you have read, understood and agreed to the Terms and Conditions set forth.

• Give your consent regarding the contracting and Terms and Conditions of our

services.

FIRST, WHAT DO WE DO?

Through different services (hereinafter the “SERVICES”) at home, remotely, online, in person or any other way, we provide educational and caring experiences to our clients and which can be, just to mention a few, the following:

- Care: Babysitting Services.

- School: Tutoring Services, Regularization, Educational Accompaniment, Homeschooling (family education) and language classes.

- Events: Entertainment services such as playdates (play meetings) and parties.

- Training: Training for hotels, restaurants and companies for the implementation of babysitting services.

- Neuropsychological: Shadows, Monitors, Neuropsychological Diagnosis, language and learning therapies

NOW HOW DO WE WORK?

We offer, among others, the services listed above. It is important that you know and consider that our company and our daily operation are located in Mexico City (Mexico), and although we have clients and services in other cities of the country, as well as different countries such as Guatemala, Panama, Colombia, Peru and the United States, we try to give the fastest responses to each of your requests. Once you have contacted us, we will try to understand your needs in terms of service(s), time(s) and date(s). If necessary and the client considers it so, we can make a phone call or video call to be sure of your needs and what we can offer you.


Next step, we will send a corporate presentation with all our information, in particular about the service of interest, outlining our guarantees, the benefits of contracting our SERVICES and prices. If an additional call is necessary, we will gladly make it for your peace of mind. We are sure that once you know our services you will contract with us, so as an immediate step, we will make a diagnosis that we will send through a link (url) with different questions to narrow down the needs of our new Client.

With this information, we will select the profile of our staff that is most suitable for the user. We will send a video with their profile and information that provides peace of mind and comfort to our clients and users; and even a video call to introduce them before starting the contracted Service. Upon acceptance of the selected staff, we will send you a welcome kit containing processes, agreements, our service provision contract, our payment methods and a copy of these Terms and Conditions.

As a general rule, against the proof of payment that you send us and the firm deposit or transfer, we will proceed to authorize our collaborators and support to provide the contracted SERVICES. We maintain a policy of confidentiality, privacy and secrecy with the information of our clients, so all the information that our Clients provide us will be handled and kept safe, in accordance with the best practices and existing policies. Likewise, we inform you that the information and banking data that you provide within the operations that may exist for the use of the SERVICES, will never pass through our hands, but directly to certified banking providers, so we are exempt from any responsibility for the misuse of this type of information. However, whenever you have any questions or there is a charge that may be additional or improper, we can help you remedy it with our providers, to the extent of our possibilities.

In the case of Occasional Nanny Service, payment must be made at least 24 hours before the Service. In the price of the rate provided, delays or additional hours are not considered, so from the 10th minute of the following hour, the full amount will be charged.

Likewise, for the Occasional Babysitting Service, if there is a total or partial cancellation (less hours) of the Service, there will be no refund. In such case and in case there is a material possibility of doing so, it will be subject to a new quote.

Now, on the day contracted for the Service, our Nannies or Babysitters will arrive at the requested address to provide the required Service and within the following 72 business hours a document is sent with the activities carried out with the minor (user).

In the case of the Fixed Babysitting Service, payment must be made between the 1st and 5th day of the month counted naturally. In the price of the rate provided, delays or additional hours are not considered, so from the 10th minute of the following hour, the full amount will be charged. In the specific case of the neuropsychological evaluation, payment must be made in a single installment.

HOW DO WE FIND YOUR SERVICE PROVIDERS?

It is important to remember that we do not provide services directly. Rather, we put at your disposal our method with which you will find security, reliability and quality in the SERVICES you need.

To find the right candidate for each family or user, we interview as many candidates as apply for the vacancy to make a pre-selection. Finally, the family (Client) chooses the best profile that fits their request for Services. Only in the case of the neuropsychological evaluation, schedule options are given and start dates, application of the evaluation and delivery of results are proposed.

WE ARE TRANSPARENT

Our guarantees:

a) You will obtain the contracted service and described in the information .pdf.

b) Punctuality of the service providers

c) Profiles of the providers with the necessary studies and experience.

d) Efficient response on the same day they contact us.

e) Guarantee of profile change at the request of the Client.

f) Substitution in case the profile is absent.

g) Supervision and training of the selected profile (weekly supervisions if the service is

daily, biweekly if it is 3 days a week, once a month if it is once a week).

h) Planning of sessions and personalized monitoring of the user's route.

i) Curricular adjustments according to what is being worked on.

j) Recommendation or observations according to what has been diagnosed and worked on with the user.

k) Quarterly report in monthly services and in occasional services a report of what has been done.

l) Establishment of objectives and monitoring of these.

Our limits:

1. We cannot issue daily reports of what has been done.

2. We cannot guarantee exact times in the user's learning.

3. The results of the therapies and classes are closely related to the work done at home with the family.

4. We cannot be held responsible for accidents involving your children/staff within your home during the hours of the Services.

5. The contracted hours will not be replaced or discounted when the client cancels or does not notify.

6. We cannot guarantee or commit to the availability of the companion or service provider outside the established hours.

7. Our services can be as flexible as the Clients like, especially in the Nanny services, however, the costs will increase the more flexibility is required. When there are changes in schedules or days we cannot guarantee the same profile. This also applies to any of our services.

8. If the father (Client) hires a non-flexible service and begins to change the conditions of this (schedule, number of hours, type of work): ii) more will be charged according to what was established; and iii) the schedule can be changed with a change in cost, conditions and availability of your profile.

9. If payment is delayed by 5 calendar days, the Services will be suspended until the payment is up to date.

10. In the event of late payments, a 5% monthly interest rate will be applied.

11. All our payments are made via transfer or Credit Card, if this option is available.

12. Payments must be complete and partial payments will not be accepted. In the case of partial payments, they will be considered not made until the total is settled.

13. In the event that the service is “cancelled” or “unsubscribed” during vacation periods, we cannot guarantee the same provider profile or immediate availability when re-contracting the service.

14. In no way will the Clients have any influence on the payments made to the providers.

15. It is strictly prohibited to try to make agreements with providers such as nannies, or any of the profiles, as well as to investigate their payments or hire them without our intervention.

16. The client may not, under any circumstances, directly contact the service providers to resolve doubts, suggestions, modifications, request overtime or any other requirement that must necessarily be reviewed with us; in that case, we will not be obliged to answer or resolve said requirement.

17. The result of the service provided cannot be guaranteed nor will there be returns or refunds, in the event that the Client makes modifications and/or interventions in the process of this, once the service(s) have started.

18. The parent (Client) must inform about medical diagnoses, conditions, illnesses, limitations, disabilities, or other important information related to the minor (user), in order to adapt the service provided.

19. We may cancel the service if the client violates any part of our terms and conditions. There will be no refunds or returns.

CLAIMS, REFUNDS OR COMPLAINTS

I. There are no refunds or reimbursements when you cancel less than 7 calendar days in advance for monthly services.

II. There are no refunds or reimbursements when you cancel for any reason for an occasional service.

III. There is no refund of unused hours in any of our services.

IV. There are no refunds or reimbursements once the service has been enjoyed.

V. In the event of any claim or complaint, it must be reported on the same day that any incident arose in order to process the best solution, always within the guarantees and limits established in these Terms and Conditions.

AUTHORIZATION TO USE ONE'S OWN IMAGE, CASES AND PHOTOGRAPHIC AND AUDIOVISUAL MATERIAL.

As you know, our Services are based on word-of-mouth recommendations and the advertising that we can send to our prospects with clear and real examples of our services and users (minors) and families (Clients). For this reason, it is very important for us to be able to document all the cases of our Clients and Users through photographic and/or audiovisual material of the service providers, teaching sessions, care, events or any other. In this sense, when contracting any of our services, you accept and authorize expressly and free of charge the capture, storage, reproduction, editing, publication and communication of the image of the User (minors), with the sole and exclusive purpose described in this section, which is advertising. We will do everything possible to keep the identity, location, and personal data of all our users and clients secret and carefully so that they are not identifiable by the simple fact of appearing in any advertising material.

WE RESPECT AND PROTECT YOUR RIGHTS.

We recommend that you read the Terms and Conditions carefully, since when you accept them, you will have an express manifestation of your will, full and without reservation. When entering, accessing, browsing, using or registering as a Client, the obligations contained herein will apply to you. Said consent has legal effects such as consent granted through a handwritten signature, being admissible as evidence in any trial under the applicable legislation. The Terms and Conditions are not negotiable at any time. If you do not know the content of the Terms and Conditions, you will not be exempt from liability and therefore, we ask that you refrain from interacting with us. The Terms and Conditions will be valid from their publication date and the most updated version will be applicable.

In consideration of the above, the publication date must be taken into account. The services can only be used for the purposes described in the Terms and Conditions. We will have the right to verify the identity, age and legal capacity, as well as to suspend the services of persons who carry out vulnerable activities or illegal activities.

This is a Contract between you and us. By purchasing the SERVICES you agree to all the Terms and Conditions.

INTELLECTUAL PROPERTY

Intellectual Property is described below:

Restrictions on Use. Except as expressly provided in the Contractual Documents, no Content or other material protected by intellectual or related industrial property laws may be copied, reproduced, distributed, replicated, downloaded, displayed, posted or transmitted in any form or by any means, without our prior written permission or the prior written permission of the owner of the intellectual property rights; the foregoing includes, but is not limited to, use by electronic, mechanical, photocopying, recording or any other means. You may electronically copy and print some materials for personal, private use and for non-commercial or profit-making purposes. Any other use of the materials without our prior written permission is prohibited.

MODIFICATIONS

We may modify these Terms and Conditions and the Contractual Documents generally from time to time. In such case, we will publish the new version of the modified document and note in said document the date on which the last update was made. If we consider that the proposed modifications are substantial for our relationship with you, we will make an effort to notify you (e.g. through a communication to your last registered email) of the fact that we have made modifications.

APPLICABLE LEGISLATION AND JURISDICTION

In the event that you are dissatisfied with any of the SERVICES made available to you, please contact us at the telephone numbers or means available at hola@somostotters.com. We will do everything possible to resolve your problem within the following 30 business days counted from the date on which you send us your claim.

For the interpretation and fulfillment of this contract, the parties agree to submit to the laws of the United Mexican States. For any disagreement, the parties may go to the Federal Consumer Protection Agency in its administrative area to reconcile their differences; Should such differences subsist, the parties expressly submit to the competent courts of Mexico City, which will be the only ones that may hear any lawsuit or claim related to the SERVICES offered. The parties expressly waive any other present or future jurisdiction that may correspond to them by reason of their present or future addresses. Version prepared June 2024.
